These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and MXWLL Capital (“MXWLL,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the MXWLL Capital website, trading intelligence dashboard, and all related services (collectively, the “Services”).

IMPORTANT: By creating an account, subscribing to a plan, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use our Services.

1. Eligibility

• You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts.
• You must not be located in any jurisdiction where the use of our Services would be prohibited by applicable law.
• You may create only one account per individual unless expressly authorised by MXWLL.

2. Description of Services

2.1 Trading Intelligence Platform

MXWLL Capital is a multi-asset trading intelligence platform. Our Services include:

• Daily market bias summaries across crypto, forex, stocks, indices, and commodities
• Structured trading signals with entry, stop-loss, and take-profit levels
• News intelligence with sentiment scoring and classification
• Technical indicator tools and charting terminal
• Watchlists and configurable alerts
• Educational masterclasses and coaching sessions

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate and complete information during registration.
• You are responsible for keeping your account information up to date.
• We reserve the right to refuse registration or suspend accounts at our discretion.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials, including your password and any two-factor authentication devices.
• You must immediately notify us of any unauthorised access to your account.
• You are responsible for all activities that occur under your account.
• We strongly recommend enabling two-factor authentication on your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account for violation of these Terms, suspected fraudulent activity, or any other reason at our sole discretion. You may request to close your account at any time by contacting support.

4. Subscriptions and Payments

4.1 Plans

We offer both free and paid subscription plans. Paid plans unlock additional features such as full signal access, watchlists, alerts, news intelligence, and masterclasses. Plan details and pricing are displayed on our website and may change with notice.

4.2 Billing

• Paid subscriptions are billed in advance on an annual or lifetime basis through Stripe.
• You authorise us to charge the payment method on file for all applicable fees.
• Annual subscriptions renew automatically unless cancelled before the renewal date.
• Lifetime plans are a one-time payment with no recurring charges.

4.3 Refunds

Subscription fees are generally non-refundable. If you believe a charge was made in error, please contact us within 14 days. We may offer refunds at our discretion on a case-by-case basis.

5. Acceptable Use

You agree not to:

• Share, redistribute, or resell signals, bias summaries, or any premium content to third parties
• Use automated tools, bots, or scrapers to extract data from the platform
• Reverse-engineer, decompile, or attempt to extract proprietary algorithms or methodologies
• Share your account credentials or allow others to access your account
• Use the Services for any unlawful purpose or in violation of any applicable law
• Interfere with or disrupt the integrity or performance of the Services
• Misrepresent MXWLL signals or content as your own analysis when distributing to others

6. Intellectual Property

• All content on the platform, including text, graphics, logos, images, software, signal methodologies, indicator logic, and trademarks, is the property of MXWLL Capital or its licensors and is protected by intellectual property laws.
• Our trading strategies, signal pipelines, proprietary indicators (including OptAlgo and related systems), and algorithmic methodologies are confidential trade secrets.
• You may not copy, reproduce, modify, distribute, or create derivative works from any content without our prior written consent.
• You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for your personal trading and educational purposes only.

7. Disclaimer of Warranties

• We do not guarantee the accuracy, completeness, or timeliness of any signals, bias summaries, news scores, or other data provided through the Services.
• We do not guarantee that signals will result in profitable trades or that market data will be error-free.
• We do not guarantee continuous, uninterrupted access to the Services.
• Past signal performance is not indicative of future results.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• MXWLL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
• WE SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, MISSED OPPORTUNITIES, OR FINANCIAL DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES.
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED ACCESS AND SHALL NOT BE LIABLE FOR ANY INTERRUPTION OR DELAY.

9. Indemnification

You agree to indemnify, defend, and hold harmless MXWLL, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the Services; (c) your trading activities or investment decisions; or (d) your violation of any applicable laws or third-party rights.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.

10.2 Dispute Process

Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration or, where permitted, bring a claim in the courts of England and Wales.

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, for registered users, via email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

12. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and MXWLL regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
